CSRD vs EmpCo: aligning sustainability reporting with consumer-facing claims
CSRD is investor-facing and audit-light; EmpCo is consumer-facing and ex post. The gap closes through a materiality–marketing matrix, a consumer-readable transition plan summary, and a disclosure-to-marketing review gate.
CSRD is investor-facing and audit-light. EmpCo is consumer-facing and ex post. The alignment programme closes the gap with three artefacts: a materiality–marketing matrix, a consumer-readable transition plan, and a disclosure-to-marketing review gate.
The Corporate Sustainability Reporting Directive (2022/2464) and its ESRS govern what large companies must disclose to investors and stakeholders, structured around double materiality. EmpCo governs what those same companies can say to consumers. The audiences differ; the corporate narrative often does not. When CSRD disclosures contradict consumer-facing claims — or vice versa — the gap becomes evidence in a greenwashing case.
Three alignment artefacts
- Materiality–marketing matrix — map each material topic in the ESRS double-materiality assessment to the consumer-facing claims that touch it, with a substantiation file behind each.
- Transition plan consumer summary — a public, consumer-readable version of the ESRS E1 transition plan with the EmpCo elements: commitments, milestones, allocated resources, verifier and accessible findings.
- Disclosure-to-marketing review gate — any figure or claim from CSRD content reused in marketing is reviewed by sustainability and legal against EmpCo's tests before publication.
The Omnibus simplification context
The 2025 Omnibus I simplification reduces CSRD assurance to limited assurance and narrows the population in scope. That makes investor-facing disclosure lighter — but EmpCo's consumer-facing standard does not move. Companies should not assume reduced CSRD scrutiny implies reduced EmpCo scrutiny.
A practical implication: sustainability teams whose work has been read primarily by investors should expect a second readership — consumer protection regulators, NGOs and competitors checking marketing against disclosure. The cost of building alignment now is far smaller than the cost of explaining a gap in court.
